Terms of Service

Pilot and early-access status

HiVayne is offered on a pilot, beta, and early-access basis. Features may change, be limited, or be discontinued, and the product may contain errors. You should not rely on HiVayne as your sole system of record.

Eligibility and accounts

You must be able to form a binding contract and use HiVayne only for lawful business purposes. You are responsible for your account credentials and for activity under your account. Keep your credentials secure and notify us of any unauthorized use.

Free Recorder allowance

The free HiVayne Recorder allows up to 10 recorded meetings per calendar month. Allowances, limits, and included capabilities may change. Capabilities described as “in pilot,” “rolling out,” or “planned” are not guaranteed to be available.

Availability

We aim to keep HiVayne available but do not promise uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time.

Recording responsibility

You are solely responsible for obtaining any legally required notice or consent before capturing a conversation, and for following your employer’s and your customers’ policies. HiVayne does not determine whether recording is lawful for a particular meeting. Browser-caption capture may still constitute collection or recording. See the Recording and Consent Guidelines and the Acceptable Use Policy.

Your content and license

As between you and HiVayne, you own the transcripts, uploads, and other content you submit (“Your Content”). You grant HiVayne a limited, non-exclusive license to host, process, and transform Your Content solely to provide and support the service, including generating summaries, memories, and drafts for your review. You are responsible for having the necessary rights and authority to submit Your Content.

AI output and human review

HiVayne uses automated processing, including AI, to produce summaries, insights, recommendations, and drafts. This output can be incomplete or incorrect and requires your judgment. Recommendations are prepared for your review. Under the current product, nothing is sent on your behalf without your approval. You are responsible for reviewing output before acting on it.

Prohibited conduct

You agree not to misuse HiVayne. Prohibited conduct is described in the Acceptable Use Policy, which is part of these terms.

Intellectual property

HiVayne, including the software, design, and content we provide, is owned by HiVayne Limited Liability Company and its licensors. These terms do not grant you any rights in HiVayne except the limited right to use the service.

Feedback

If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it without restriction. We are not obligated to keep feedback confidential.

Suspension and termination

We may suspend or terminate access if you violate these terms, create risk or legal exposure, or misuse the service. You may stop using HiVayne at any time. Provisions that by their nature should survive termination will survive.

Future paid plans

Paid plans may be introduced. When they are, payment terms, billing, and cancellation will be presented before you subscribe, and additional terms may apply.

Disclaimers

HiVayne is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that output is accurate or that the service is error-free or secure.

Limitation of liability

To the fullest extent permitted by law, HiVayne Limited Liability Company will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the service will be limited as set out in the finalized terms.

Indemnity

You agree to indemnify and hold HiVayne harmless from claims arising out of your use of the service in violation of these terms or applicable law, to the extent set out in the finalized terms.

Governing law and disputes

These terms are intended to be governed by the laws of the State of Connecticut, United States, without regard to conflict-of-laws rules, subject to legal review. Dispute-resolution terms, including any arbitration or class-action waiver, are reserved for the finalized terms.

Changes

We may update these terms. When we make material changes, we will update the date above and, where appropriate, provide additional notice. Continued use after an update means you accept the revised terms.
